Corporate/LLC Change Instructions

Pursuant to State Liquor Code, anyone that holds a liquor license is required to keep the Local and State Authorities apprized of any changes to a Corporate or LLC licensee. When there is a change in structure, the licensee must complete the change forms within thirty (30) days.  Failure to file within thirty days may result in a liquor license violation.

Required Fees:

                                   $39.50 per person - This must be a business or certified check, payable to the City of Boulder

If you have your fingerprints taken by the Boulder Police Dept., they will charge you a $10 fee per person.

If you choose to be fingerprinted outside of Boulder, you must first contact the City Clerk’s office to have a Boulder Police Dept. card sent to you. You can usually be fingerprinted in the city where you live or work. Please contact those police departments for their schedules and fees.

Instructions:

LIMITED LIABILITY AND CORPORATE REPORT OF CHANGES FORM

1. You must fill in all information for questions 1 - 6.
2. Question #8 - If a Corporation: You must list all (not just new) officers and directors with their position, name, home address and date of birth. In the "Replaces" column you will indicate whom they are replacing. If the person is not replacing anyone, then indicate whether they are "new" or "existing."
3. Question #8 - If an LLC: You must list all (not just new) managing members with their position, name, home address and date of birth. In the "Replaces" column you will indicate whom they are replacing. If the person is not replacing anyone, then indicate whether they are "new" or "existing."
4. Question #9 - You must list all persons/companies that own 10% or more of the licensee. List each stockholder/member, their percentage owned, their home address, and date of birth. In the "Replaces" column you will indicate whom they are replacing. If the person is not replacing anyone, then indicate whether they are "new" or "existing." If a company is listed in this section, then you will need to attach a list of all officers and directors (if a corporation) or a list of all members (if an LLC). NOTE: If the applicant’s sole stockholder is a corporation or LLC, attach a letter designating one officer or member to be the "principal person" for the stockholder. This person must also fill out an Individual History Record and be fingerprinted.
5. Question #11 - Oath of Applicant: Please read the oath and have an authorized representative of the applicant sign, title and date the form.

You are also required to submit the following documentation with the "Limited Liability Company and Corporate Report of Changes" form:

1. Certificate of Good Standing dated within the last two years
2. Corporate/LLC documents reflecting and approving the reported changes.
3. Individual History Record and Fingerprint Cards for each new person being added to the corporation/LLC.

INDIVIDUAL HISTORY RECORD

1. This form is to be completed by the new manager. All blanks should be filled in with information or "N/A (not applicable)."
2. Question #1 - This should be the trade name of the establishment, not the corporate/owner name.
3. Question #9 - If you answer yes, please write your license number and state in the space provided.
4. Question #11 - This question is asking if you personally or as part of a company have ever had a liquor license. If yes, please list the licensee, trade name and location address.
5. Question #12 - Please read this question carefully and fully disclose the required information. Please consult an attorney if you are unsure of how to answer this question, city staff is not allowed to give legal advice. This form will be checked by the Boulder Police department, and your fingerprints will be checked by the Colorado Bureau of Investigation. If this question does not match with what the agencies report back, your application may be denied.
6. Question #13 - This question is asking if you personally or as part of a company have ever had a liquor license denied, suspended or revoked.
7. Question #15 - Please answer this question completely in all sections.  If a section does not apply, please cross it out or write in "N/A"
8. Question #16 - Please answer this question completely and provide all information asked for.
9. Oath of Applicant - Please read, sign, title and date this section.

FINGERPRINT CARD

1. Please read the attached fingerprint information sheet
2. You must be fingerprinted on a Boulder Police Dept. Fingerprint Card
3. Please fill in the following sections on the card
4. Signature of Person Fingerprinted

• Resident of Person Fingerprinted
• Employer and Address
• Reason Fingerprinted - In this box, please write "C.R.S. 12-47-307(3) – Liquor License Application" you will also need to write in the trade name of your establishment (i.e., Ben’s Bean Shack)." 
• Last Name, First Name, Middle Name
• Aliases - If applicable, otherwise, leave blank
• Citizenship
• Armed Forces No. - If applicable, otherwise leave blank
• Social Security No.
• Date of Birth
• Sex
• Race
• Height
• Weight
• Eye Color
• Hair Color
• Place of Birth

Once you have completed all of the forms, mail them along with all the fees to:

Do Not send the application to the State liquor division. Once the background checks have been completed and there are no issues, the city will administratively approve the application and submit it to the State liquor division. You will receive a letter and a stamped copy of the "Limited Liability and Corporate Report of Changes" for your records.
